Summary – Spyker EGM, future plans and EIB loan approval

As we’d hoped, today events saw all the final hurdles cleared before Spyker Cars proceed to closing the deal with General Motors for the acquisition of Saab Automobile. At the time the deal was signed, the closed was scheduled for “mid-February” with several mentions of Monday 15th as a closing date, so hopefully it will happen on Monday but it should be done by the end of next week at the latest.
Here’s a summary of what happened today.

SPYKER CARS EXTRAORDINARY GENERAL MEETING
Spyker shareholders approve Saab acquisition
The Spyker Cars Extraordinary General Meeting took place in Zeewolde and at that meeting, shareholders approved the plan to acquire Saab Automobile with an overwhelming majority.
Possibility of listing on the London Stock Exchange
From a news release shown over at Etienne’s Saabhuy blog:

“Today’s meeting went very smoothly and we spent a lot of time explaining the transaction in great detail. We also announced that we are currently investigating the possibilities of listing Spyker at the London Stock Exchange by means of a dual listing and possibly in the future in Stockholm, in which case the listing in Amsterdam would eventually be terminated. However, I stress that this is still in the investigation phase and no such decision has been made yet.

Listing in these countries would open up far greater possibilities for capital raising for the new company.
Delay on changing the corporate name
From the same news release:

We postponed the decision to change the name of Spyker Cars N.V. to Saab Spyker Automobiles because we need to reach agreement with Swedish aircraft manufacturer Saab AB on the possible use of the Saab trademark in our corporate name. We expect this issue to be resolved at Spyker’s Annual General Meeting, scheduled for April 22 2010.

Here’s hoping that Saab AB play ball and don’t make this overly difficult. I could almost understand Saab AB’s reservations, but if they were happy for an American-owned company to use it, then why not a Dutch-owned company?
Maybe because the American company just had it as a brand, not as the entire corporate identity, as would be the case for Saab Spyker.

SWEDISH NATIONAL DEBT OFFICE RECOMMENDS LOAN GUARANTEES
The Swedish government has confirmed the offer of loan guarantees made on January 26 following a recommendation from the Swedish National Debt Office.
The SNDO concluded that Saab’s business plan is plausible with acceptable levels of risk and that there is sufficient collateral to support the loan guarantees.

EIB LOAN HAS BEEN APPROVED
Via a news release on the EIB website today:

EIB loan to Saab
Date: 12 February 2010
The EIB has confirmed the authorisation to conclude the EUR 400 m loan to SAAB Automobile AB in accordance with the terms and conditions approved by the Board of Directors on 21 October 2009 and to conclude the guarantee agreement with the Swedish National Debt Office, as the loan is subject to a state guarantee which the Swedisch Government approved on 26 January 2010. The EU Commission approved the Swedish state-guarantee for the Bank’s loan to SAAB on 8 February 2010.

Today’s events mean that everything is set up now, for the closing of the deal.
The challenge now is for Saab to start building, selling and designing cars for customers. They now get that chance, a chance to do things on their own terms, which is what we’ve all been hoping for, and fighting for, all along.
Congratulations to Victor Muller, the Spyker executive and to Jan-Ake Jonsson and Saab’s management team for a another successful day.

I’ve been Saabing today. Great for all this to be cleared up while I was driving to Dallas. Only a Saab owner would drive into a “record” snow storm. Wasn’t much by the time I got to Dallas. I would do a support convoy of two, but my wife may not want to drive her car in the snow. Dinner time, we get back later. Great news!

Wonderful! Now looking forward to hearing from SCNA about a renewed dealer network for Canada. (Seems as though Australia and other loyal but smaller markets need similar attention.)
It would be nice if current owners were contacted by SCNA about suggestions for locations, re-engaging the best of the old dealers, and possibly a network of factory-recognized service outlets. We don’t mind traveling to buy the car, but long distances for service without easy ways to get to work or home and back are the big problem. I suspect again that this could be a useful approach in other geographically large countries

It wouldn’t be a bad idea if Saab UK became responsible for distribution to all RHD markets including Australia. It could set up Saab UK regional offices, instead of Saab appointing a whole lot of independent distributors.

Great reporting and summary Steven. These events should also allow completion of the convertible debt agreement with Heerema. The fact that Spyker will be able to list and raise capital is a large step forward. The fact that a porton of their debt is in convertibles speaks to the fact that there is perceived future value in this sale. Now, if only they would update the configurator for 2010..

During this papers time,
Some get “quite” impatient to know quickly and clearly the “new businessplan for SAAB retail” of Mr Victor MULLER!
Dealers around me, in France, are dying and starving for customers as new SAAB products.
Some of them have already turned out, others are going to introduce new brands on their showrooms…
This time is a very bad and crucial situation for retail. Dealers cannot “wait and see” anymore!
Please give the message, and quick!

Simply change it to “I helped to SAVE SAAB”, to “SAVED SAAB” or to “WE SAVED SAAB” :-)

TROLLHATTAN, RED WHITE TENT, CELEBRATION TO COME?
Today I’ve noticed a red-white tent at the main square in Trollhattan (“Spykerville”) Haven’t seen it there earlier this week. Wondering what that could be? Could it maybe be that the local authorities are planning some sort of Saab Spyker celebration in the coming days, or is it just my imagination seeing celebrations of Saab everywhere?

With great news like this there’s only one thing to do – Road Trip. Well maybe tomorrow.
My highway milage yesterday from Lubbock to Post, Texas (about 60 miles) was 40.5 mph by the trip computer. The temperature was 40 degrees f. I have the tires at 40psi. Sewell Saab set my wife’s 2009 9-3XWD at 40psi at the first service. She likes the way the car drives better at the 40psi, so I set mine at 40psi, too. You know, I like the ride better also. Anyway by the time I did my first stop at Eastland, Texas the highway milage was 38.5mph. Even after the stop I reach my destination in Dallas with 37.9mph.
Lubbock to Post is pretty flat with no stops until the three stop lights in the town. I think 40.5mph is pretty good for a 2008 9-3SS with no changes off the lot and the original Pirelli tires.
Anybody disagree?
New EPA milage for the 9-3 should be 24mph city and 40mph highway. Someone should stop under estimating the milage for Saabs! Do the tests in Lubbock.
Just a thought.
